Real Estate Finance & Investment
Our real estate department has broad experience in a number of financing options, including acquisition loans, land development loans, construction loans, and letters of credit. Additionally, we assist in the formation of partnerships, joint ventures, and holding companies for the purposes of pooling assets in order to finance, purchase, sell, or lease various real estate properties.
- Acquisition Financing. The firm represents owners, developers, banks, and other financial institutions in mortgage, senior secured, joint ventures, assumptions, and sale-lease-back matters.
- Refinancing. Our professionals are experienced in representing both borrowers and lenders in refinance lending transactions and recapitalizations to replace a property's existing debt. We approach this as an opportunity to revisit the debt and equity structure and explore alternatives and propose terms that best suit your company's current needs and concerns.

Alternative Investment Options
Since many of our clients are more than "hobby" investors, we often counsel our clients through tax deferred options provided under § 1031 of the Internal Revenue Code (Like-Kind or Tax Deferred Exchanges). Understanding that the rules regarding such investment transactions are strictly construed by the Internal Revenue Service, we walk our clients through every step and closely manage the involvement of the qualified intermediary facilitating the exchange.
International Investment Concerns
Our expertise is commonly sought by foreign investors seeking to purchase and sell real estate within the United States and subject to the withholding requirements set forth under § 1445 of the Internal Revenue Code (Foreign Investment in Real Property Tax Act (FIRPTA)). These clients are subject to special state and federal withholding requirements which trigger the requirements of the IRC. Working with the clients and their tax advisors, we are very often successful in minimizing such withholdings.
